Payments firm OpenPayd targets year-end Nasdaq listing to fund U.S. expansion and acquisitions

The combined company would trade on Nasdaq under the ticker OP, with implied pro forma equity value reaching $1.1 billion under the deal's terms. The listing is meant to fund OpenPayd's U.S. expansion and further acquisitions. The U.S. market has grown more attractive for crypto payments firms as regulation develops, including the GENIUS Act's stablecoin framework and SEC rule proposals, even though broader market-structure legislation remains stalled. OpenPayd took a step toward entering the U.S. last month by bringing MSB USA Inc. and its 43 state money transmitter licenses into its group, and aims to launch U.S. customer services by April 2027. The company provides businesses with accounts, FX, and domestic/international payments, plus infrastructure linking traditional currencies and stablecoins; clients include Kraken, B2C2, and OKX. It has also integrated with Circle Payments Network and joined Fireblocks' payments network. For the year ended April 30, 2026, OpenPayd reported $73 million in revenue (up from $57 million), $13 million in EBITDA, and a $2.8 million net loss, which the company attributed entirely to $5.8 million in one-time transaction costs tied to the merger. Dimitrova said acquisitions will play a growing role in OpenPayd's expansion, targeting companies that add licenses or technology to speed market entry; the firm is also weighing a private placement ahead of the merger. Other crypto firms are taking varied paths to public markets — RedotPay is advancing U.S. IPO plans after completing a financial audit, while Kraken parent Payward has pushed its listing to at least Q2 2027.
