OpenPayd targets Nasdaq listing and U.S. expansion as acquisition plans build

OpenPayd, a London-based payments infrastructure firm, is moving toward a Nasdaq listing to fund its expansion into the U.S. payments market. CEO Iana Dimitrova says the company is in the final stages of SEC review for its merger with Titan Acquisition Corp, with completion expected by year-end pending the registration statement's effectiveness and Titan shareholder approval. If completed, OpenPayd would trade under ticker OP.
The company aims to launch U.S. customer services by April 2027, following its recent acquisition of MSB USA Inc. and its 43 state money transmitter licenses. OpenPayd offers accounts, FX, and domestic/international payments infrastructure, including support for transfers between fiat and stablecoins. Clients include Kraken, B2C2, and OKX, and the firm has integrated with Circle Payments Network and Fireblocks' payments network.
Dimitrova sees the U.S. as an increasingly attractive market for crypto-related financial infrastructure as digital-asset rules evolve, despite delays in broader federal market-structure legislation. Acquisitions targeting licenses and technology are expected to drive expansion, with the listing providing capital and stock for future deals.
For the year ended April 30, 2026, OpenPayd reported $73 million in revenue (up from $57 million), $13 million in EBITDA, and a $2.8 million net loss. The Titan merger terms imply a pro forma equity value of up to $1.1 billion.
